1. Agreement
These Terms of Use ("Terms") govern your access to and use of the website located at learndriveai.pro (the "Website"), operated by LearnDrive AI Inc. ("LearnDrive AI", "we", "us"), a corporation registered in the Province of Ontario, Canada, with its principal office at 112 Harbord Street, Suite 200, Toronto, ON M5S 1G6. Business Number: 902374615 RC0001.
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website. These Terms apply to website use only; professional services are governed by separate written agreements.
2. Nature of LearnDrive AI
LearnDrive AI is an edtech and learning-AI consulting studio. We design, build and measure adaptive learning, intelligent tutoring, learning analytics and related tools for client institutions and educators. We are NOT an accredited school, college or university. We do NOT issue degrees, diplomas, certificates or other credentials. We do NOT operate as a course seller, bootcamp, or "learn AI and learn AI for personal income" programme.
The name "LearnDrive AI" is interpreted as follows: "Learn" refers to teaching and learning services delivered for institutions and educators — not personal enrichment courses or income schemes. "Drive" refers to the momentum of learner progress and outcomes — not cloud storage ("drive"), motoring, or sales campaigns. The .pro top-level domain is branding only and does not imply professional licensure beyond our corporate registration.
3. Academic integrity
Our tools and services are designed to support learning and honest assessment. They are NOT designed to complete assignments, write essays, produce exam answers or enable academic dishonesty on a student's behalf. Any description of intelligent tutoring, automated feedback or AI grading assistance on this Website assumes human educator review before learner-facing use. Users who attempt to misuse our contact channels to solicit cheating services will be refused and may be reported to relevant institutions.
4. AI disclaimers
Content on this Website describes AI-assisted learning tools and methodologies. AI outputs, recommendations, generated content and automated feedback can be inaccurate, incomplete, out of date or biased. AI supports educators; it does not replace professional teaching judgement. LearnDrive AI does not guarantee any grade, test score, admission, certification, job placement or learning outcome. Case studies and metrics presented on the Website reflect past or illustrative engagements and are not promises of future performance.
5. Acceptable use
You agree not to:
- Use the Website for any unlawful purpose or in violation of applicable Canadian law
- Attempt to gain unauthorized access to our systems, networks or data
- Transmit malware, spam or automated scraping tools that impose unreasonable load
- Misrepresent your affiliation with LearnDrive AI or any client institution
- Submit false information through contact forms or impersonate another person
- Use the Website to solicit academic dishonesty, essay-writing or exam-answer services
- Reproduce, redistribute or commercially exploit Website content without written permission
6. Intellectual property
All content on the Website — including text, graphics, logos, photographs, design elements and software — is owned by LearnDrive AI Inc. or its licensors and protected by Canadian and international copyright and trademark law. You may view and print pages for personal, non-commercial reference. Any other use requires prior written consent.
7. Third-party links
The Website may contain links to third-party websites. We provide these links for convenience only and do not endorse or assume responsibility for third-party content, privacy practices or availability.
8. Privacy
Your use of the Website is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Student and minor personal data processed during client engagements is handled in accordance with PIPEDA, applicable provincial privacy legislation and project-specific data processing agreements.
9. Disclaimer of warranties
The Website and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components.
Information on the Website is for general informational purposes about our studio services. It does not constitute legal, medical, psychological, financial or professional advice. Indicative pricing is subject to change and formal quotation.
10. Limitation of liability
To the maximum extent permitted by applicable law in the Province of Ontario, LearnDrive AI Inc. and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Website, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from Website use shall not exceed one hundred Canadian dollars (C$100).
Some jurisdictions do not allow certain limitations of liability; in such cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless LearnDrive AI Inc. from any claims, damages, losses or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Website, or your infringement of any third-party rights.
12. Professional services
Engagement for adaptive learning, intelligent tutoring, learning analytics or other studio services requires a separate written statement of work or master services agreement. In the event of conflict between these Terms and a signed client agreement, the client agreement prevails for that engagement.
13. Student-data care
Where we process student or educator data on behalf of client institutions, we do so under documented instructions, with data governance controls, fairness checks and human-in-the-loop review as described in our service documentation. We do not make automated decisions about individual learners that produce legal or similarly significant effects without explicit authorization and human oversight.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising from these Terms or your use of the Website.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
16. Changes
We may revise these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Your continued use of the Website after changes constitutes acceptance of the revised Terms.
